Julie Burke has had more than two decades of experience as a media executive. Recently she was the vice president of business development, operations and director for all syndication activities at FashionWireDaily.com, one of the industry's most comprehensive content syndication sources for international fashion news content, trends, and forecasts for consumers, the media, trade and industry. Before this she was Managing Director, USA, for BMCNEWS, an established, international, global supplier of media monitoring that provides worldwide, comprehensive coverage to corporations, financial institutions, government agencies and the media. While at BMCNEWS, she was responsible for the identification and development of the corporate client base in the United States, representing approximately $2 million dollars in revenues annually. Prior to this, Ms. Burke, as vice president for New Business Development, personally raising $6.1 million debt and equity financing for the Internet startup, Busybox.com, (BUSY), a pioneer in integrated end to end Internet solutions combining content based retrieval with electronic commerce to enable secure, immediate purchase and delivery of digital media. Ms Burke has had many years of experience in the visual media encompassing television, advertising, photography, stock film and digital content. She worked for many years as the Director of Acquisitions and New Business Development for Getty Images, (GETY), a leading worldwide provider of visual content, where she was responsible for overseeing the development of all film and video production, as well as the acquisition of companies now part of Getty family. Ms.Burke began her career at WABC-TV as the supervisor of creative services, where she oversaw the creative and production materials for more than 500 advertising projects annually. She is presently the Director of Media Strategy & Communications at Ozmosys Inc., a company that specializes in the electronic distribution of high value content for all industry sectors. Ms Burke earned a Bachelor of Arts degree at Boston University.

Anne Droste has been the president of Droste Media Group in Los Angeles, California from 2003 to the present. Droste Media develops distribution strategies and assesses current environmental conditions for distribution of content on various platforms to include cable, satellite, broad band, Internet, cable networks and syndication. In addition, it provides access to major industry decision makers, negotiates major distributor affiliation agreements, analyzes business plans to include affiliate rate cards, national ad sales projections, ancillary business opportunities, setting realistic revenue and growth goals, collaborate on the creation of presentation materials, tapes, marketing, branding, programming and itv strategies for major distributor meetings and assists in executive placement. Clients include: PBS Kids, Meredith Broadcasting, CanWest Global, The Africa Channel, The Documentary Channel, Casino & Gaming TV, Esprit Entertainment, Bridges TV, WealthTV, No Good TV. From 1996 to 2003, she was employed by the Game Show Network of Sony Pictures entertainment. She started with that company as vice president for national accounts, opening the Western Region/Corporate Sales Division, reorganizing the sales group for maximum efficiency, developing the rate card and successfully executing the sales business plan to achieve maximum subscriber goals, and successfully nurturing long-term affiliate relationships to strategically execute MSO agreements. Beginning in 1999, she held the position of senior vice president, sales and affiliate marketing beginning in 1999. In this capacity, her responsibilities included maximizing distribution of GSN from ten million to over fifty-one million subscribers in a highly competitive environment, negotiating, renegotiating and renewing major cable and satellite affiliation agreements to include Comcast, DirecTV, Time Warner, Charter and Echostar, incorporating Sony Electronics Division and interactive games strategies to create major consumer/affiliate promotions, resulting in unprecedented increased cash flow for affiliates in key markets, developing and implementing sales and marketing strategies for field force to maximize exposure of GSN distribution and awareness, reengineering the national sales team of five regional offices with over forty employees to maximize company revenue and overall sales performance. From 1994 to 1996, Ms. Droste held the position of Vice President Affiliate Sales and Marketing – Western Region for NewTalk Television, in which she Launched the Western Region Sales and Marketing office to distribute the startup network in extremely competitive major markets in nineteen states, developed strategic business plans and cultivated major MSO relationships resulting in NewsTalk Television launch commitments totaling more than six million subscribers in an eight month period, Established administration policies and set up computer network to fully automate sales and production group and designed and created West Coast production studio, oversaw all technical and production operations, and recruited top on-air talent to establish West Coast presence. From 1989 to 1994, she worked for ShowTime Networks, Inc. She was the regional operations manager from 1989 to 1991, having the responsibility for planning, developing and implementing budgetary and financial guidelines for sales and marketing office that established an effective liaison with the corporate finance and operations department, permitting region to perform consistently within budget, automating the regional sales office, including the creation and maintenance of customer database, allowing sales executives to manage territories more efficiently - resulting in the Western Region becoming the company’s top performer - establishing employee specific training and development programs to meet both employee goals and company needs. Ms. Droste was the regional Sales Director – Business Development from 1991 to 1994. She tripled the volume of commercial Showtime sales by developing and implementing sales training incentive program for cable and satellite salespeople in 9-state territory, she increased territory revenue forty-five percent by recruiting over seventy new commercial sales representatives and introducing them to Showtime’s sales incentive program, and created sales and marketing training programs for outside sales force to effectively compete with HBO. She has been the vice president for operations of SelecTV, national director for affiliate marketing for ZAP! Movies, Telstar Satellite Systems of SelecTV and national manager for affiliate sales of Telstar Satellite Systems. Ms. Droste earned a Bachelor of Science degree in Communications Arts & Sciences from Western Michigan University, and she is a member of Executive Women in Cable, Southern California Cable Association, CTAM and the National Cable Television Association.

Ben Evans is a senior programming and production executive with extensive experience and specific skills in developing network strategy, scheduling, contract negotiations, program acquisition, developing and producing original programming and live events, forecasting and monitoring budgets. His additional capabilities include network branding, show conception, live broadcasts, consumer research and network development. Mr. Evans planned and launched Television Games Network (TVG), the first financially viable interactive television network featuring live horse racing and original network programming. He served TVG between 1997 to 2003 in several vice presidency positions, including senior vice president of programming and marketing. He has produced and programmed over 12,000 hours of television including documentaries, weekly series and live events. He has hired and managed network staff of 150 including line management, producers, directors and talent. He has acquired programming content and developed extensive programming library. He has developed nesting strategy on Fox Sports West 2 resulting in .8 rating that led to increased exposure of network programming and additional carriage. He has negotiated programming licenses, production, broadcast operations and facilities contracts. Significantly, he wrote the Company's business plan and planned and launched Eurocinemasm. He developed business and operations plan for sportsXchange UK television channel (this channel is funded, but has not yet launched in the UK due to regulatory constraints), serving as its chief operating officer. He has developed TVG logo and managed brand in on-air promotion and graphic design. He has produced live theatrical productions featuring “A-list” talent for the launch of pharmaceutical products. He has produced consumer and commercial instructional videos for Fortune 500 companies. He has produced and directed television commercials. Other positions he has held include vice president for production of Naczinski and Associates, Inc. (World West Communications), Los Angeles, producer and executive producer for C & G Advertising, Summit, New Jersey, founder of Second Sight. Inc., Basking Ridge, New Jersey, associate producer for Fred Kolo Productions, New York, and post production director and assistant director for Film Consortium, Los Angeles. His memberships include the National Association of Television Programming Executives, the Broadcast Designers Association, the Cable Telecommunications Association for Marketing and the Society of Motion Picture and Television Engineers. Mr. Evans attended Penn State University.

Charles S. James has spent 25 years - his entire professional career in the cable television industry. Since 1996, Mr. James has provided mergers and acquisitions advisory, consulting marketing/sales services to select clients in the cable television industry through Armillary Holdings, LLC. He has a combination of successful endeavors, including cable ownership/operation, finance, marketing and programming. Mr. James entered the cable industry in 1981 as Regional Director for Rainbow Programming Services, running the Atlanta office. There he managed sales and regional marketing to MSOs for The Playboy Channel, Bravo, American Movie Classics, and initiated Rainbow's launch of a regional sports network in Florida. In 1985, he was recruited to join cable's investment banking firm Daniels & Associates in the Denver office, where he became a partner. At the telecommunication industry's premiere investment banking and mergers and acquisitions advisory firm, Mr. James provided services to clients including most of the top twenty multiple system operators. Besides cable, he also raised debt and equity for cable programming networks, CLECs, and telephone resellers. In 1992, Mr. James opened Daniels' first remote office in New York. During his thirteen years at Daniels, he completed over seventy-five transactions with an aggregate value in excess of $1 billion. Mr. James was the first cable banker/broker to work extensively with competitive cable companies. He raised debt financing for both original cable over builders in Allentown, Pa – Twin County Cable and Service Electric. He later represented Twin County in the sale of that business to C-TEC/RCN Cable. Mr. James left Daniels in 1996 to form Armillary Holdings to provide both investment banking services and acquire operating companies in cable and telecom. He was also a founding investor of American Burglar Alarms, which owned and operated a commercial and residential security company based in New Haven, Connecticut. From 1996 to 1998, Mr. James was also a partner at TRG Associates, where he did mergers and acquisitions, investment banking, performed transaction due diligence, provided valuations and executive search - all in the home/residential security industry. At TRG, he founded Security Professionals, LLC, a lender which provided senior debt and acquisition financing to the security industry. With former clients at Daniels, in 1998, Mr. James was instrumental in creating Avalon Cable by brokering the purchase of Cable Michigan, a public cable operator with over 215,000 subscribers. He also recruited ABRY Partners as primary equity sponsor of the transaction. After putting the transaction together as a broker, ABRY and management invited Mr. James to provide a senior operating role. Mr. James made a significant equity investment in Avalon, and was engaged as consultant to Avalon and also named executive vice president of business development and programming. He was active in the transfer of franchise for purchase of the business, roll-up acquisitions, and negotiated and managed all programming relationships, channel lineups and launches, and programming payments. He acted as a liaison between management, employees and ABRY - helping establish and accomplish budgeting, quarterly reporting to equity, and overall strategic direction. At the same time, Mr. James was president and owner/operator of ICE Cable Holdings, with 6,000 cable subscribers in Minnesota. Avalon grew to over 260,000 subscribers through acquisitions, expansion, and organic growth. Mr. James & his partners sold Avalon Cable and ICE Cable Holdings to Paul Allen's Charter Communication in 2000. In 2001, Mr. James formed Rocky Mountain Cable in four transactions. He consolidated the company operations, opened several new franchise locations, and introduced new product tiers for digital programming and HSD service. The company operated eleven cable systems with approximately 6,000 subscribers in Colorado, and was sold in 2005. Mr. James formed Broad band Libraries in 2004 to program games over high speed data for cable operators, and sold a controlling interest in BBL to Showtime in 2006. He is a cofounder and managing member of James & Co, a retained executive search firm. James & Co is the most active search firm in media, with a blue chip client list, including top cable television networks and operators, sports teams and leagues, and industry leading companies in publishing, radio and consumer technology. Mr. James was elected to the Cable TV Pioneer's in 2002, and was a Series 7 & 23 Registered Rep with the NASD. He has spoken at numerous cable television and financial conferences, and served as director of several cable television organizations at the state and national level.

David Lafaille practiced for two years as trial counsel in the firm of Herbert H. Hiestand, and then for nine years in the Los Angeles Public Defender's office, the bulk of which was spent in central district felony trials. In 1976, he founded and became managing partner of the firm of Lafaille, Chaleff & English, where he continued until 1983. During this time, he continued the criminal trial practice and extended his practice to include business litigation. In 1981, Mr. Lafaille founded Charter Pacific Bank where he served as chairman and house counsel until 1995. In 1981, he was also a founding board member of Reliance Bankcorp, a thrift and loan holding company and served as President and chief executive officer of that company from 1982 to 1984. Mr. Lafaille has represented Robert Mitchum, Ocean Record, Higher Octave Records, the Hollywood Reporter, E-Entertainment Television, Recovery Network, Reality Central, Steeplechase Media, Comspan, LA Louver Gallery and many other businesses as general counsel. In 1988, Mr. Lafaille represented the principals in connection with the sale of the Hollywood Reporter to Billboard Industries. He has served on the board of trustees of the Beverly Hills/Cannes Sister City Committee, the Southern California Institute of Architecture (as chairman), and the Otis College Board of Governors (as chairman), Samaya Foundation, the Los Angeles Police Protective League’s Eagle and Badge Foundation, as an Orange County Reserve Deputy Sheriff on the Sheriff’s Legal Advisory Board and Yoga Inside. Mr. Lafaille is currently engaged in the practice of law, counseling, representing and litigating on behalf of clients related to cable television, media, finance, art, general business and entertainment business matters. Mr. Lafaille earned a Juris Doctor degree from the UCLA School of Law in 1966.

Karen Miller is an accomplished media professional who has distinguished herself in senior programming, marketing and production positions in television and advanced media at major media companies over the past twenty-five years. While Senior Vice President, Programming, at Spelling Entertainment Group, Miller developed the television hit, Judge Judy. As Vice President, Original Programming at Warner Brothers Online, she produced multiple interactive series, short films and live concerts for broad band distribution. She has held other senior positions including, Senior Vice President, Programming at Worldvision Enterprises and Vice President, Programming at CBS Television Stations. She currently works with cable networks, program producers, production companies and others to design and execute enterprising business strategies and create original content for television and advanced media. Ms. Miller oversaw all aspects of programming, operations, production and marketing for the startup network, Reality 24-7. She is an active member of the Academy of Television Arts and Sciences and currently serves in her second term as Second Vice Chair and on the Academy’s Executive Committee. As Activities Chair, Ms. Miller produces multiple events each year for the Academy’s 13,000 members. She was Governor of the Production Executives Peer Group for two terms. Ms. Miller earned a degree in Radio, Television and Motion Pictures at the University of North Carolina, Chapel Hill, and advises its Department of Communications. She also attended the CBS School of Management.

Nick Moran studied for three years at London's Mountview Theatre Academy, graduating in 1989. He has worked successfully as an actor in British theatre and television for many years. In 1999, Mr. Moran had the lead role in Guy Ritchie's hit movie, “Lock Stock & Two Smoking Barrels”, which remains Britain's most successful independent film staying on theatrical release thirty weeks. Not only “number one” at the box office in the UK, it held that distinction across much of Europe and Australia. The film received BAFTA, BIFA (British independent film awards) Evening Standard, and MTV awards among others. Since that success Nick has worked predominantly in independent film as actor, writer, producer, director and distributor. The seventeen movies he has made since include, the BAFTA nominated “Christie Malry's Own Double Entry”, which he also distributed, winning a BIFA for his campaign efforts, (as well as a nomination for best actor). He produced and co-wrote "Babyjuice Express", which was released through Universal Studios. Mr. Moran wrote and directed "Nollywood" for the BBC, gaining the distinction of being first and only white make a movie in the exploding Nigerian film industry. This movie achieved success, becoming critics choice in every British newspapers and showing in many worldwide Television Festivals and being aired worldwide. Mr. Moran stars in, co-wrote and co-produced the first 35 mm Nigerian feature film, “Amazing Grace", which is in competition at this years Cannes Festival, as well as in Selection a the Toronto Festival. His effort in Nigeria has earned him diplomatic status as a cultural ambassador, and he had been made a Chief. He has worked on the jury of many festivals and competitions, including The Dinard Festival (France), The Raindance Festival (British Independent), The BIFA'S (UK) and FIRST-LIGHT (New film makers - UK ) as well as many short film festivals. Other highlights of Mr. Moran's career include as a stage actor starring in the award winning "The Countess" and "Four Knights In Knaresborough", and as author of the Olivier nominated West End hit play 'Telstar'. He maintains a busy film acting schedule starring in films that have taken him around the world from Deli to Moscow and of course Hollywood. He has worked with some of the biggest names (and some of the smallest) in cinema and theatre.

Bruce Rabinowitz will provide the Company with advice regarding international and domestic business and legal operations. Mr. Rabinowitz has served as an attorney, business consultant and sales agent to a number of international and domestic clients in the television and film industries. Among his current responsibilities are advising RAI Corporation, the service arm of the Italian state broadcaster, Radio Televisione Italiana, on business and legal affairs, as well as serving as a sales agent for RAI Trade, the broadcaster's sales division based in Rome. Additionally, he provides similar business and legal consultation to IBC, an international program sales and channel development company, and Kairos Italy Theater, among numerous other sales, production and distribution organizations. He also serves as a Professor in the Television & Radio Department of Brooklyn College. Mr. Rabinowitz formerly held the post of Vice President, International, at Showtime Networks, where he was responsible for identifying, researching, negotiating, marketing, and launching niche channels for the international marketplace. Prior to that, he served as RAI Corporation's Director of New Business, based in New York, as well as Director of Commercial Sales for DLT Entertainment.

Bill Zaccheo has more than twenty-five years of senior executive experience with global media companies where he has managed all critical operating divisions. This experience has provided him with a broad-reaching and in-depth knowledge of the media business, and positions him at the forefront of today’s media sector as both a visionary and a seasoned executive. Throughout his career, Mr. Zaccheo has been a leader in numerous media events. He championed one of the first efforts to stream video via the Internet, both live and archived, in 1996 on the multi-awarding winning ComedyNet.com. He was also a key executive on the team that created and launched E! Entertainment Television and the team that launched the NFL on ESPN, where his efforts helped propel the networks to become the marquee brands that they are today. Mr. Zaccheo has held senior management positions with E! Entertainment Television, ESPN and HBO, playing an integral role in the development of each of these networks into nationally recognized brands. He was also President of Space Media Inc. where he oversaw the successful negotiation of a 115 million dollar, multinational space and media joint venture; and a founding partner of American Interactive Media, Inc. and TVOD Networks, where he developed entertainment networks for distribution on all digital platforms, including ComedyNet.com
